4. Orders, Quotations, and Acceptance
Payments made through the website may relate to standard listed offerings or to a custom commercial proposal, statement of work, service order, invoice, subscription plan, or mutually approved quotation. A payment does not override any separately agreed commercial document. By making a payment, you authorize us and our payment processing partners to charge the applicable amount. Payment confirmation is subject to authorization, fraud screening, technical validation, and actual receipt of funds.
7. ERP and CRM Subscription Terms
Subscription services are generally billed in advance for the chosen billing cycle unless otherwise agreed in writing. Access to subscription software, modules, features, user limits, storage, implementation scope, support coverage, and renewal terms will follow the selected plan or proposal. Subscription continuity may depend on timely payment. We may suspend or restrict access for overdue accounts after reasonable notice where commercially appropriate.
Trial access, beta features, implementation schedules, integrations, and data migration support may be subject to separate scope limitations. Clients remain responsible for the legality, accuracy, and ownership of the data they upload or ask us to process.
8. Software Development and Custom Project Terms
For websites, CRM, ERP, custom software, or related engineering services, scope, timeline, milestones, revisions, acceptance criteria, and deliverables shall be governed by the applicable proposal, statement of work, invoice, or written communication. Delays caused by missing client content, approvals, credentials, dependencies, compliance reviews, or third-party systems may reasonably extend delivery timelines.
Unless otherwise agreed in writing, intellectual property in pre-existing tools, frameworks, libraries, know-how, accelerators, and reusable components remains with Sutrixs Global, while the client receives the rights expressly granted under the relevant commercial agreement.
9. International Export Trade Terms
For export trade transactions, product descriptions, specifications, quality parameters, country-of-origin details, packing, dispatch timelines, inspection arrangements, insurance, shipping terms, port handling, customs formalities, import permissions, sanctions screening, and regulatory approvals may depend on the final contract, proforma invoice, purchase order, or shipping documents. All export orders are subject to practical availability, manufacturer readiness, legal permissibility, logistics conditions, and force majeure events.
The client or buyer is responsible for ensuring that the goods may lawfully be imported, sold, used, and paid for in the destination country. Unless expressly agreed otherwise, delays or costs arising from customs holds, port congestion, inspections, banking restrictions, local regulations, import licensing, or destination-country compliance are not treated as our default.
10. BPO and Call Center Service Terms
BPO, customer support, call center, and managed process services are typically delivered according to approved scope, staffing assumptions, service windows, language coverage, SLA commitments, reporting requirements, and compliance instructions. The client is responsible for giving lawful process instructions, accurate campaign or support information, and any required approvals for data handling, recordings, scripts, or regulated communications.
11. Client Responsibilities
- Provide accurate billing, company, project, and contact details.
- Make payments through authorized channels only.
- Cooperate with reasonable KYC, compliance, anti-fraud, or due-diligence checks.
- Provide timely approvals, content, credentials, technical information, and business inputs required for delivery.
- Use our website and services only for lawful and legitimate business purposes.
12. Cancellations, Suspension, and Refusal
We may decline, suspend, hold, or cancel an order, subscription, project activation, export transaction, or service engagement where reasonably necessary for fraud prevention, legal compliance, sanctions screening, abuse, non-cooperation, inaccurate information, payment failure, chargeback risk, or operational infeasibility.
